Corporate Legal Specialist (Cyprus / iGaming)

Our client is an international business operating within a complex cross-border corporate structure, and we are currently assisting them in finding a corporate lawyer to provide legal support to existing companies within an international group, with a primary focus on Cyprus.

The main objective is to ensure the legal soundness of the corporate structure, contractual relationships, and documentation of the companies’ business activities. The expected outcome is the companies’ systematic readiness for annual audits.

Key Responsibilities:

provide comprehensive legal support for companies operating in Cyprus and other jurisdictions, including corporate matters, contractual relationships, and documentation of business transactions;
draft, review, and negotiate commercial contracts, amendments, and documents required for the proper documentation of business activities;
conduct legal analysis of actual cooperation arrangements with counterparties, the parties’ obligations, and financial flows;
ensure consistency between contracts, invoices, service acceptance certificates, supporting documents, and actual business transactions;
maintain the companies’ legal and corporate documentation in a state of continuous readiness for annual audits;
provide legal support for corporate changes and liaise with external corporate service providers and consultants;
analyze existing corporate structures and contractual relationships between group companies and external counterparties, taking into account the actual business model, financial flows, and Cyprus VAT requirements;
identify legal and documentary discrepancies, prepare proposals to address them, and promptly inform the Head of Department.

Requirements:

at least 3 years of practical experience in corporate law or legal support for international businesses;
practical experience providing legal support to Cyprus companies and knowledge of Cyprus corporate law;
understanding of corporate structures, contractual obligations, and the legal aspects of financial relationships between companies;
ability to analyze the actual business model, identify legal risks, and propose well-reasoned solutions;
English proficiency at B2 level or above, including working with legal documents and business correspondence;
a systematic approach, independence within the scope of one’s responsibilities, and accountability for results.

Nice to Have:

experience in iGaming, fintech, or international groups of companies;
experience working with banks, EMIs, and PSPs.
